Agreement

Please read these Terms and Conditions carefully before contracting or using the services of Yazhi Software Solutions. By accessing our website, executing a project proposal, or paying an invoice, you agree to be bound by these Terms.

Definitions

  • Company (referred to as "the Company", "We", "Us", or "Our") refers to Yazhi Software Solutions, a partnership firm based in Tamil Nadu, India.
  • Client ("You", "Your") refers to the business entity, partner, or individual contracting our software, digital marketing, or social media services.
  • Services encompasses software engineering (web/mobile development, maintenance), search engine optimization (SEO), digital advertising management, and social media channel management.
  • Deliverables means the custom code, designs, campaign assets, and reports agreed upon in a written proposal or Scope of Work (SOW).

Scope of work

  • Development timelines, technical stacks, milestones, and deliverables are governed by the specific Statement of Work (SOW) or written agreement provided to the Client.
  • Any feature requests, design changes, or structural revisions outside the agreed SOW will be billed as change requests at our standard hourly or milestone rates.

Marketing and platform access

  • Ad Spend: All advertising budgets (payable directly to Google Ads, Meta Ads, etc.) are separate from our agency management fees and must be funded directly by the Client.
  • Platform Dependencies: The Company does not guarantee specific lead counts, algorithmic reach, or conversion numbers, as third-party platform algorithms (Meta, Google, LinkedIn) and auction dynamics are beyond our direct control.
  • Account Access: The Client agrees to grant required access levels (e.g., Partner Access via Meta Business Manager) without sharing master administrative credentials when possible.

Payments

  • Project Payments: Software projects are typically split into milestones (e.g., advance deposit, staging review, final deployment). Work commences only after the agreed initial advance is received.
  • Retainer Services: Social media management and digital marketing retainers are billed in advance on a monthly or quarterly cycle.
  • Late Payments: Failure to settle invoices within the agreed timeframe may lead to suspension of development sprints, ad campaign pauses, or temporary revocation of staging environments.

Intellectual property

  • Client Materials: You retain all intellectual property rights to your pre-existing trademarks, brand assets, product photos, and proprietary business copy supplied to us.
  • Developed Assets: Upon full settlement of all outstanding invoices, full ownership of custom code, graphics, and final campaign creatives developed specifically for the Client transfers to the Client.
  • Proprietary Frameworks: Yazhi Software Solutions retains ownership of its internal boilerplates, developer tools, reusable libraries, and general knowledge frameworks used in executing the work.
  • Portfolio Rights: Unless a non-disclosure agreement (NDA) specifies otherwise, the Company reserves the right to display finished work, case studies, and brand logos in its portfolio and marketing materials.

Client responsibilities

  • The Client is responsible for timely provision of feedback, credentials, brand guidelines, and copy approvals. Delays in client approvals will proportionately extend delivery timelines.
  • The Client represents that all content, logos, and materials provided to the Company do not infringe upon any third-party copyrights, trademarks, or local advertising regulations.

Termination

  • Termination for Convenience: Either party may terminate a recurring monthly marketing or maintenance retainer by providing 30 days' written notice via email.
  • Termination for Cause: Either party may terminate immediately if the other party breaches a material term of these Conditions and fails to remedy it within 14 days of written notice.
  • Settlement on Termination: In the event of early termination, the Client shall pay for all work completed and expenses incurred up to the termination effective date. Retainer payments for the active month are non-refundable.

Limitation of liability

  • To the maximum extent permitted by applicable law, in no event shall Yazhi Software Solutions or its partners be liable for indirect, punitive, special, incidental, or consequential damages (including loss of profits, business interruption, ad account suspensions by third-party platforms, or loss of data).
  • The total cumulative liability of the Company for any claim arising out of these Terms or the services provided shall not exceed the total amount actually paid by the Client to the Company for the specific service in dispute during the three (3) months preceding the incident.

Warranties

Software solutions are provided with standard acceptance testing periods (as outlined in individual SOWs). Except as explicitly stated in writing, all services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of uninterrupted uptime or error-free operation.

Governing law and disputes

  • These Terms shall be governed by and construed in accordance with the laws of Tamil Nadu, India.
  • In case of any dispute or controversy, both parties agree to first attempt informal resolution through mutual discussions. If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts in Tamil Nadu, India.
